TERMS AND CONDITIONS

1. Introduction And Agreement To Terms

Welcome to Dorm Room Cleans, Inc. ("Company," "we," "us," or "our"). We are a service platform that connects independent cleaning service providers ("Cleaners") with students seeking cleaning services for their dormitory rooms ("Clients").

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Dorm Room Cleans, Inc. governing your access to and use of our website, mobile applications, and services (collectively, the "Services").

By accessing or using our Services, or by clicking a box that states you agree to these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. THESE TERMS CONTAIN AN ARBITRATION AGREEMENT THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

1. The Platform

 

1. Online Marketplace. Our platform is an online marketplace that enables connections between Clients and Cleaners. Cleaners are independent contractors and not employees of Dorm Room Cleans, Inc. We do not perform cleaning services directly. We are a technology platform that facilitates the connection between independent Cleaners and Clients seeking their services.

 

1. Our Role. We do not supervise, direct, control or monitor Cleaners' work. We do not set Cleaners' work locations, work hours, or terms of work. We do not provide tools or supplies to Cleaners. We have no control over the quality, timing, or any other aspect of the cleaning services, nor of the integrity, responsibility, qualifications or ratings of Cleaners. When a Client and a Cleaner communicate and agree to cleaning services, they form a direct contractual relationship between themselves. Dorm Room Cleans, Inc. is not a party to any agreement between Clients and Cleaners, even if no formal written contract exists between them. The formation of a service agreement between a Client and a Cleaner will not create any responsibility or liability for Dorm Room Cleans, Inc., nor any employment relationship between Dorm Room Cleans, Inc. and the Client or Cleaner.
    

2. User Accounts. To use our Services, you must create an account with accurate information, including a valid .edu email address. Clients must verify their student status through their educational institution email address. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. We reserve the right to refuse service to anyone for any reason at any time.

 

1. Service Description And Permitted Use. 

 

Dorm Room Cleans, Inc. provides a platform that connects Cleaners with Clients. We do not provide cleaning services directly. We are a technology platform that facilitates the connection between independent Cleaners and Clients seeking their services.

 

1. Permitted Use. You may use our Services solely for the purpose of:

   1. Browsing and accessing the content on our website;

   2. Creating an account to use our platform;

   3. If you are a Client, booking and scheduling cleaning services through our platform;

   4. If you are a Cleaner, offering and providing cleaning services through our platform;

   5. Communicating with other users as permitted through our platform; and

   6. Any other use that is explicitly authorized by us.

 

1. Prohibited Use. You are strictly prohibited from using our Services to:

   1. Violate any applicable law, rule, or regulation;

   2. Infringe upon the rights of any third party, including copyright, trademark, privacy, or other personal or proprietary rights;

   3. Engage in any activity that is fraudulent, false, misleading, or deceptive;

   4. Harass, abuse, or harm another person or entity;

   5. Collect or store personal data about other users without their express consent;

   6. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;

   7. Interfere with or disrupt the Services or servers or networks connected to the Services;

   8. Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services;

   9. Transmit any viruses, worms, defects, Trojan horses, or any other items of a destructive nature; or

   10. Use any robot, spider, or other automatic device or process to access the Services for any purpose.

 

1. Membership Structure.

   1. Membership Plans. The Company offers membership plans that entitle the Client to one (1) cleaning service per week ("Weekly Service"). Specific details about membership plans, including pricing, are available on our website and mobile application.
       

   2. Payment and Redemption. Membership fees are billed on a weekly basis according to the selected plan. The Client must redeem each Weekly Service through our official website or mobile application by providing the correct room number, building number, preferred date, and time. Each Weekly Service must be redeemed within the corresponding week, beginning Monday and ending Sunday. In the event the Client does not redeem a Weekly Service within the designated week, no refund shall be issued, and the unused service cannot be applied to any future period or week.
       

   3. No Reminder Obligation. The Company shall bear no responsibility to remind the Client about any unused or available services. It is the Client's sole responsibility to schedule and redeem services within the applicable time periods.

2. Fees And Payment

 

1. Service Fees. Clients agree to pay all applicable fees for services arranged through our platform, including service fees, processing fees, and any applicable taxes. The fees will be as described on our website or mobile application at the time of booking. All fees are non-refundable unless explicitly stated otherwise.

 

1. Payment Processing. All payments must be made through our platform using our designated payment methods. Payments made directly to Cleaners outside of our platform are strictly prohibited and may result in immediate termination of platform access for both Client and Cleaner. Any attempt to circumvent our payment system constitutes a material breach of these Terms.
    

2. Cancellations.

   1. Client-Initiated Cancellations. The Client must submit cancellation requests at least forty-eight (48) hours before the scheduled service via email or through our platform. In the event of a timely cancellation, the Client may reschedule the service within the same week, subject to availability. If the cancellation is made less than forty-eight (48) hours before the scheduled service, the Client will forfeit the service, and no refund or rescheduling will be permitted. No monetary refund shall be issued under any circumstances for cancellations.

 

1. Company-Initiated Rescheduling. Dorm Room Cleans, Inc. reserves the right, at its sole discretion, to reschedule any confirmed service within seven (7) business days of the originally scheduled time. Such rescheduling shall not entitle the Client to any refund or additional service.

 

1. Missed Services. In the event a service cannot be performed because the Client fails to provide adequate access to the dormitory room, the service will be forfeited with no refund or rescheduling permitted. If Dorm Room Cleans, Inc. fails to deliver a scheduled service due to its own error, the Client shall be entitled to reschedule such service within seven (7) business days, subject to availability. Under no circumstances will Dorm Room Cleans, Inc. provide a monetary refund for missed services attributable to its error.

 

1. Late Payments of Failed Charges. Should any payment method on file fail or not be processed, Dorm Room Cleans, Inc. reserves the right to suspend or terminate the Client's account and withhold any services until the outstanding balance is settled. The Client remains liable for any unpaid charges for services already rendered.

 

1. Additional Fees. Dorm Room Cleans, Inc., at its discretion, may impose additional fees if the services required exceed normal cleaning standards due to excessive clutter, filth, or special requests beyond the routine scope. The Client shall be notified of any such additional fees before they are applied.

 

Media Capture

The Company reserves the right to photograph, film, or otherwise record the Client’s room or surrounding premises during the provision of Services.

12.2 Ownership of Media

All rights, title, and interest in any media captured shall remain solely with the Company. The Client hereby waives any claims or rights to compensation, royalties, or other forms of remuneration related to the use of such media for promotional or commercial purposes.

1. User Representations And Warranties. 

 

By using our Services, you represent and warrant that you:

 

• Are at least 18 years of age;

• Have the right and authority to enter into this agreement;

• Will comply with all applicable laws, rules, and regulations;

• Will provide accurate and complete information to us and other users;

• Will not use our Services for any illegal or unauthorized purpose; and

• Will not violate any terms of this agreement.

 

1. Indemnification. 

 

You agree to indemnify, defend, and hold harmless Dorm Room Cleans, Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

 

• Your violation of these Terms;

• Your violation of any applicable law, rule, or regulation;

• Your User Content (as defined below);

• Your use or misuse of the Services; or

• Any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Services using your account.

 

1. If you are a Client, you additionally agree to indemnify, defend, and hold harmless Dorm Room Cleans, Inc. from and against any and all claims arising from or relating to: your interactions with any Cleaner; any cleaning services performed or not performed by any Cleaner; any damage to your property or personal injury that occurs in connection with the services provided by a Cleaner; and any disputes between you and any Cleaner. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT DORM ROOM CLEANS, INC. IS A MARKETPLACE PLATFORM ONLY AND NOT A PROVIDER OF CLEANING SERVICES. YOU FURTHER ACKNOWLEDGE THAT DORM ROOM CLEANS, INC. IS NOT OBLIGATED TO PERFORM BACKGROUND CHECKS OR VERIFY THE QUALIFICATIONS, EXPERIENCE, OR SKILLS OF CLEANERS, AND YOU AGREE TO ASSUME ALL RISKS ASSOCIATED WITH DEALING WITH CLEANERS.

 

1. If you are a Cleaner, you additionally agree to indemnify, defend, and hold harmless Dorm Room Cleans, Inc. from and against any and all claims arising from or relating to: your provision of, or failure to provide, cleaning services to Clients; your interactions with any Client; any damage to property or personal injury that occurs in connection with the services you provide; and any disputes between you and any Client. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT DORM ROOM CLEANS, INC. IS A MARKETPLACE PLATFORM ONLY AND NOT YOUR EMPLOYER, AGENT, OR REPRESENTATIVE. YOU ARE SOLELY RESPONSIBLE FOR YOUR ACTIONS, INACTIONS, AND THE QUALITY OF SERVICES YOU PROVIDE TO CLIENTS.

 

1. Limitation Of Liability

 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DORM ROOM CLEANS, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.

 

IN NO EVENT SHALL THE TOTAL LIABILITY OF DORM ROOM CLEANS, INC. TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU FOR THE SPECIFIC SERVICE IN DISPUTE.

 

1. Disclaimer Of Warranties

 

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DORM ROOM CLEANS, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 

DORM ROOM CLEANS, INC. MAKES NO WARRANTY THAT:

• THE SERVICES WILL MEET YOUR REQUIREMENTS;

• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;

• THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR

• THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

1. Waiver Of Liability

 

YOU ACKNOWLEDGE AND AGREE THAT YOU USE THE SERVICES AT YOUR OWN RISK. YOU UNDERSTAND THAT DORM ROOM CLEANS, INC. DOES NOT PERFORM CLEANING SERVICES DIRECTLY BUT MERELY CONNECTS CLEANERS WITH CLIENTS. YOU HEREBY RELEASE DORM ROOM CLEANS, INC. FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, DAMAGES, COSTS, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH:

• DISPUTES BETWEEN CLIENTS AND CLEANERS;

• SERVICES PERFORMED OR NOT PERFORMED BY CLEANERS;

• DAMAGE TO PROPERTY CAUSED BY CLEANERS;

• PERSONAL INJURY CAUSED BY CLEANERS; OR

• ANY OTHER MATTERS RELATING TO THE SERVICES.

1. Arbitration Agreement

 

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

 

1. Dispute Resolutions. Prior to initiating any arbitration proceeding, you agree to first contact us directly to seek resolution. You must send written notice describing the dispute and your proposed resolution to support@dormroomcleans.com. We will attempt to resolve the dispute within 30 days of receiving your notice. 

2. Mandatory Arbitration. If the dispute is not resolved within 30 days after your notice, you and Dorm Room Cleans, Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services (collectively, "Disputes") shall be resolved solely by binding individual arbitration and not in a class, representative, or consolidated action or proceeding. You and Dorm Room Cleans, Inc. agree that the Federal Arbitration Act governs the interpretation and enforcement of these Terms, and that you and Dorm Room Cleans, Inc. are each waiving the right to a trial by jury or to participate in a class action. The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the AAA's Consumer Arbitration Rules in effect at the time the arbitration is initiated. The arbitration shall take place in Dallas, Texas, unless you and Dorm Room Cleans, Inc. agree otherwise. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

 

1. Exceptions. Despite the provisions of Section 11(a), nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (c) seek injunctive relief in a court of law; or (d) file suit in a court of law to address an intellectual property infringement claim.

 

1. Class Action Waiver. YOU AND DORM ROOM CLEANS, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

 

1. Intellectual Property Rights. 

All content included on or available through our Services, including the design, selection, and arrangement of our content and the compilation of data, is owned by Dorm Room Cleans, Inc. and is protected by copyright, trademark, and other intellectual property laws.

 

1. Governing Law And Choice Of Forum. 

These Terms and any action related thereto shall be governed by the laws of the state of Delaware, without regard to its conflict of law provisions.

 

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the state of Texas, in each case located in the City of Dallas and County of Dallas, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

 

1. Changes To Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make changes to these Terms, we will:

• Post the revised Terms on our website;

• Update the "Effective Date" at the top of these Terms; and

• Provide notice of the changes by posting a notice on our website, sending you an email, or through other reasonable means.

Any changes to the Terms will be effective immediately for new users of our Services. For existing users, any changes to the Terms will become effective thirty (30) days after posting the revised Terms on our website or providing notice as described above.

By continuing to access or use the Services after the effective date of the revised Terms, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must stop using the Services. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

1. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms, interference with Cleaners performing services, or failed payments. Upon termination, you will not be entitled to any refunds for unused services, and you remain obligated to pay any outstanding fees or charges incurred prior to termination. Should any payment method on file fail or not be processed, we reserve the right to suspend or terminate your account and withhold any services until the outstanding balance is settled.

1. Additional Terms. 

   1. Service Accessibility. The Client must ensure that the Cleaner has unobstructed access to the relevant building and room for the scheduled cleaning. The Client (or an authorized representative) may be required to meet and guide the Cleaner to the designated location. Failure by the Client to provide adequate access will result in forfeiture of the scheduled service. In such instances, no refund or rescheduling shall be permitted.
       

   2. Use of Subcontractors. The Company reserves the right to utilize subcontractors or third-party entities to perform services. These subcontractors may include individual Cleaners or cleaning service companies. While third-party contractors are expected to adhere to the Company's standards, the Company shall not be liable for acts or omissions of third-party contractors that exceed or fall outside the defined scope of the services. The Company may, but is not obligated to, inform Clients when services will be performed by subcontractors rather than direct employees. The Client agrees that any claims arising from services performed by subcontractors shall be subject to the same limitations of liability, indemnification requirements, and other protective provisions contained in these Terms as apply to services performed directly by the Company.
       

   3. Service Limitations. Cleaners shall perform tasks consistent with routine dormitory room cleaning. Services expressly do not include deep cleaning, pest control, structural repairs, or any other tasks requiring specialized licenses, certifications, or equipment.
       

   4. Pets Clause. The Client is responsible for securing all pets prior to the commencement of any cleaning. Dorm Room Cleans, Inc. and Cleaners shall have no liability for any pet escaping or sustaining injury due to being unsecured or improperly contained.
       

   5. Damage Provisions. Dorm Room Cleans, Inc. assumes no responsibility for incidental or minor cosmetic damage incurred during the normal course of performing the services. Dorm Room Cleans, Inc. shall not be liable for damage to items or surfaces that are already worn, defective, or improperly installed prior to the commencement of the services. The Client is advised to notify the Cleaner of such conditions in advance.
       

   6. Non-Interference. The Client agrees not to interfere with or disrupt the Cleaner while the service is being performed. The Cleaner reserves the right to terminate the service immediately if the Client's conduct or directives impede or hinder the fulfillment of the agreed-upon services, without refund or liability.
       

   7. Media Capture and Usage. The Company reserves the right to photograph, film, or otherwise record the Client's room or surrounding premises during the provision of services. All rights, title, and interest in any media captured shall remain solely with the Company. The Client hereby waives any claims or rights to compensation, royalties, or other forms of remuneration related to the use of such media. The Client agrees that the Company may use any photographs, videos, or related materials captured during cleaning services for promotional, marketing, training, or commercial purposes without additional consent or compensation to the Client. The Company will make reasonable efforts to ensure that any personal identifying information or private belongings are not prominently featured in media used for commercial purposes.
       

   8. Background Checks. Dorm Room Cleans, Inc. may, at its sole discretion, perform background checks on Cleaners. However, we do not guarantee the accuracy of these checks, nor do we guarantee that every Cleaner has been checked. Clients should exercise due diligence and caution when using our Services.
       

   9. Dormitory Rules Compliance. Both Clients and Cleaners agree to comply with all rules, regulations, and policies established by the university or college where the dormitory is located. Clients are responsible for informing Cleaners of any specific dormitory rules that may affect the performance of cleaning services.
       

   10. Force Majeure. Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, civil disorder, government actions, or internet disturbance.
        

   11. Electronic Communications and Notices. By using our Services, you consent to receive communications from us electronically, including emails, texts, and notices posted on our website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
        

   12. Electronic Signatures. You agree that your electronic signature (such as clicking "I agree" or similar buttons) is the legal equivalent of your manual signature. Your use of a keypad, mouse, or other device to select an item, button, or icon constitutes your legally binding signature.
        

   13. No Third-Party Beneficiaries. These Terms are for the sole benefit of you and Dorm Room Cleans, Inc. There are no third-party beneficiaries to this agreement, and no person who is not a party to these Terms may enforce any of its terms.
        

   14. Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
        

   15. Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null. We may freely assign or transfer these Terms without restriction.
        

   16. Entire Agreement. These Terms constitute the entire agreement between you and Dorm Room Cleans, Inc. regarding the subject matter hereof, and supersede all prior oral or written understandings or agreements between you and Dorm Room Cleans, Inc.
        

2. Acknowledgment and Consent.

BY USING OUR SERVICES OR CLICKING "I AGREE" (OR SIMILAR BUTTON), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, THE PRIVACY POLICY, AND ALL OTHER TERMS INCORPORATED BY REFERENCE. YOUR USE OF THE SERVICES CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO BE BOUND BY THESE TERMS.17. CONTACT INFORMATION. 

 

1. Privacy and Consent.
    

   1. Privacy Policy. By using our Services, you consent to our collection, use, and sharing of your information as described in our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy is available on our website.
       

   2. Consent to Information Collection. By engaging our Services, you consent to the Company's collection, use, retention, and dissemination of information as necessary to provide the Services, including but not limited to your name, contact information, dormitory details, payment information, and scheduling preferences.

 

1. Media Usage Consent. By engaging our Services, you consent to the Company's use, retention, and dissemination of any photos, videos, or related materials captured during cleaning services, as permitted under these Terms. All personal information will be handled in accordance with our Privacy Policy, as updated periodically.
    

2. Communication Records. You acknowledge and consent that we may record and maintain records of all communications between you and the Company or between you and Cleaners through our platform for quality assurance, training, and dispute resolution purposes.
